Terms & Conditions

These Terms of Service ("Agreement") govern your purchase and use of the Custom VICIdial Build service ("Service") provided by Nimlyst ("Company", "we", "our", or "us"). By completing your purchase, you ("Customer", "you", or "your") agree to be bound by the following terms and conditions:

1. Service Description

The Custom VICIdial Build includes:

- Installation and setup of the VICIdial system

- Basic campaign, user, and list configuration

- Dialer optimization and onboarding guidance

This service is limited to setup and configuration only. Ongoing server hosting, VoIP costs, third-party software, and ongoing technical support are the sole responsibility of the Customer.

2. Payment & Non-Refundable Policy

By purchasing this product, you agree to pay the full setup cost of $1,497 USD.

All charges are final and non-refundable under any circumstances. Due to the custom nature of this service, resources are allocated immediately upon purchase, and work begins shortly thereafter.

You acknowledge and agree that once payment is processed, no refunds will be provided, in full or in part, regardless of project completion status, customer responsiveness, or deployment timeline.

3. Chargeback & Dispute Waiver

You expressly waive any right to file a chargeback or dispute with your credit card company, bank, or financial institution regarding this purchase.

Should a chargeback or dispute be initiated, this Terms of Service will serve as clear evidence of your acceptance of the finality of this transaction, and the cardholder agrees that any disputes should be ruled in favor of Nimlyst LLC based on these terms. You further acknowledge that initiating a chargeback after accepting these terms may constitute fraud and will result in immediate legal action.

4. Customer Responsibilities

You agree to:

- Provide necessary information, credentials, and access in a timely manner

- Secure your own hosting environment and VoIP provider

- Maintain legal compliance with all outbound calling and telecommunications laws in your jurisdiction

Failure to provide required setup details within 14 days of purchase may result in project delays or incomplete delivery, without eligibility for refund.

5. No Guarantees or Warranty

While we will perform the custom build to the best of our ability and according to the scope outlined, we do not guarantee specific outcomes, uptime, or performance metrics once deployed.

The VICIdial system is open-source and is provided “as-is.” The Company shall not be held liable for any losses, disruptions, misconfigurations, or damages resulting from use of the Service.

6. Limitation of Liability

In no event shall Nimlyst, its affiliates, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to this Service.

Total liability, if any, shall be limited to the original amount paid for the service.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Colorado, and any disputes shall be resolved exclusively in the courts of that jurisdiction.

8. Amendments

We reserve the right to update or modify these Terms of Service at any time. The most current version will be made available on our website. Continued use of our services after changes have been posted constitutes your acceptance of the updated terms.
